Terms of Service

The Service

Lulu Ads is a two-sided monetization layer for MCP servers and AI agent tools. Publishers integrate the lulu-ads SDK to attach a disclosed, labeled sponsored data field to their own tool responses. The host AI model decides, on its own judgment, whether the field is relevant enough to surface — the SDK never instructs a model to display it. Advertisers create campaigns to have their offers considered for these disclosed placements.

For Publishers

• You keep 70% of revenue on a cost-per-action (CPA) basis. We never bill on impressions (CPM). Balances accrue in your dashboard and are eligible for cash-out once they reach $100. During the current beta, payouts are processed manually; automated payouts will follow once our Stripe Connect integration is live.
• The SDK is fail-open: it has a 150ms timeout and will never block, delay, or break your underlying tool response. If a call to our service fails or times out, your tool functions exactly as if Lulu Ads were not installed.
• You may not modify, strip, or relabel the sponsored field, attach it to error responses, or add any text, prompt, or instruction directing a model to display, favor, or act on it. The field is disclosed data; only the host model may decide whether to surface it. Violating this is grounds for immediate suspension of your publisher account and forfeiture of any pending balance tied to the violation.
• You are solely responsible for your own MCP server or agent tool, its content, and its compliance with applicable law. We are not responsible for the content, behavior, or availability of any publisher's service.
• You may not use Lulu Ads on any surface presenting itself as a security, medical, or fact-checking authority, or on any error/exception response path.

For Advertisers

• Self-serve campaigns are billed on CPA only — you are never charged for impressions or clicks that do not convert. New advertisers receive a promotional credit (currently $200, subject to change) on signup; no payment card is required to start.
• Every creative submitted is evaluated by our internal quality system before it becomes eligible to fill a placement. We may reject, pause, or remove any campaign at our discretion, including for low-quality creative, suspected fraud, or policy violations.
• You may not submit creative that is deceptive, illegal, or that misrepresents your product, pricing, or offer.
• Placement is never guaranteed. Whether, when, and to whom your creative is shown is determined by our matching system and, ultimately, by the host AI model's own judgment.

Prohibited Conduct

You may not, and may not attempt to:

• Instruct, prompt, or otherwise cause any AI model to display sponsored content.
• Generate fraudulent traffic, clicks, conversions, or impressions.
• Misrepresent your traffic, inventory, or identity to us or to advertisers.
• Reverse engineer, scrape, or interfere with the operation of Lulu Ads.
• Use the service in a manner that violates any applicable law.

Disclaimer of Warranties

Lulu Ads is provided "as is" without warranty of any kind. We do not guarantee any particular level of revenue, fill rate, conversion rate, or advertiser demand. We do not warrant that the service will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent permitted by law, Lulu shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service. Our total liability to you for any claim shall not exceed the greater of $100 or the amount actually paid to (or billed to) you in the 12 months preceding the claim.

Termination

We may suspend or terminate your access to Lulu Ads at any time, with or without notice, for violation of these Terms. You may stop using the service at any time by removing the SDK from your tool or ceasing to create campaigns. Any balance accrued in compliance with these Terms at the time of termination remains payable once it reaches the applicable cash-out threshold.

Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the service after that date constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
